Item 8.01Other Events.

 

As previously disclosed, on October 4, 2023, Standard BioTools Inc., a Delaware corporation (“Standard BioTools” or the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) by and among the Company, SomaLogic, Inc., a Delaware corporation (“SomaLogic”), and Martis Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of the Company (“Merger Sub”), pursuant to which, among other matters, Merger Sub will merge with and into SomaLogic (the “Merger”), with SomaLogic surviving the Merger as a wholly owned subsidiary of the Company.

 

The completion of the Merger is conditioned upon, among other things, the expiration of any waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), applicable to the consummation of the Merger (the “HSR Waiting Period”). The HSR Waiting Period expired at 11:59 p.m., Eastern Time, on November 20, 2023.

 

The completion of the Merger remains subject to the satisfaction of other closing conditions as previously disclosed and specified in the Merger Agreement. Standard BioTools continues to expect to complete the Merger in the first quarter of 2024.
